ส่วนที่ ๒ โทษอาญา

ในกรณีผู้ที่กระทำความผิดเป็นนิติบุคคล ถ้าการกระทำความผิดของนิติบุคคลนั้นเกิดจากการกระทำการหรืองดเว้นกระทำการอันเป็นหน้าที่ของกรรมการผู้จัดการ ผู้จัดการหรือบุคคลใดซึ่งรับผิดชอบในการดำเนินงานของนิติบุคคลนั้น ผู้นั้นต้องรับโทษตามที่บัญญัติไว้สำหรับความผิดนั้น ๆ ด้วย เว้นแต่พิสูจน์ได้ว่าการกระทำนั้นได้กระทำโดยตนมิได้รู้เห็นหรือยินยอมด้วย
