Section 1248 ประมวลกฎหมายแพ่งและพาณิชย์
หมวด ๕ การชำระบัญชีห้างหุ้นส่วนจดทะเบียน
(๑) ถ้าเกี่ยวกับห้างหุ้นส่วนจดทะเบียนและห้างหุ้นส่วนจำกัด ก็คือการประชุมหุ้นส่วนทั้งปวงซึ่งอาศัยคะแนนเสียงข้างมากเป็นใหญ่ในการวินิจฉัย
(๒) ถ้าเกี่ยวกับบริษัทจำกัด ก็คือการประชุมใหญ่ตามที่ได้บัญญัติไว้ในมาตรา ๑๑๗๑
