กรรมการต้องมีคุณสมบัติและไม่มีลักษณะต้องห้ามตามที่กำหนดไว้ในกฎหมายว่าด้วยบริษัทมหาชนจำกัดรวมทั้งต้องไม่มีลักษณะที่แสดงถึงการขาดความเหมาะสมที่จะได้รับความไว้วางใจให้บริหารจัดการกิจการที่มีมหาชนเป็นผู้ถือหุ้นตามที่คณะกรรมการก.ล.ต. ประกาศกำหนด
