(๑) ผู้ซื้อหลักทรัพย์ได้รู้หรือควรจะได้รู้ว่าข้อความหรือรายการเป็นเท็จ หรือขาดข้อความที่ควรต้องแจ้งในสาระสำคัญ หรือ (๒) ความเสียหายที่เกิดขึ้นอันมิใช่เป็นผลมาจากการได้รับข้อความหรือรายการที่เป็นเท็จ หรือการไม่แจ้งข้อความที่ควรต้องแจ้งในสาระสำคัญ
